Key Responsibilities
As a vital support to the Company Secretary and Corporate Legal Team, your duties will include:

  • Assisting the Company Secretary with board meeting preparation on request, including scheduling meetings, preparing meeting agendas, consolidating and distributing board and committee papers and other administrative support
  • Client and service provider relationship management including liaising with the boards that both individuals and clients and service providers are appointed to
  • Managing Diligent Entities and Boards software
  • attendees
  • Preparing meeting agendas
  • Preparing committee reports, in conjunction with the committee chair
  • Maintaining statutory records for group
  • Maintaining internal company secretarial registers and records; and liaising with and managing external providers to update and maintain externally managed statutory records for entities globally
  • Assisting with know-your-customer (KYC) and information/documentation requests in respect of company secretarial matters
  • Managing the DocuSign relationship/account and company secretarial records system relationship/account, and acting as the ‘port of call’ for internal queries regarding these systems and processes
  • Assisting with preparing proforma corporate legal documents

 

Desired Qualifications

The successful candidate will have a specific interest in Company Secretarial work:

  • 3+ years of corporate administration support with preference for:
    • assisting a Company Secretary with board and committee paper administration
    • director liaison
    • company record keeping and familiarity with the ASIC portal and the New Zealand Companies Register portal
    • Use of Diligent Boards and Entities software
  • Highly proficient in the Microsoft Office suite and Adobe
  • Highly organised and methodical
  • Attention to detail
  • Excellent communication skills
